Welcome to the WormTherapy website. By using our site, you agree to the following terms of use, which constitute an agreement between WormTherapy and you. WormTherapy, (referred hereafter as "WT"), offers helminth induced immune modulation (referred hereafter as "HIIM") as an experimental therapy for the treatment of autoimmunity and immune dysregulation. The basis of the therapy is to restore the gastrointestinal microenvironment to a more natural state for the purpose of modulating the immune system.

TERMS OF USE

Through its physicians, WT coordinates and provides HIIM to clients. Client desires to contract with WT to provide such services to the client, all pursuant to the terms and conditions set forth in this Agreement.

Now therefore, in consideration of the mutual promises and conditions contained in this Agreement, the parties, intending to be legally bound, agree as follows:

Basic Obligations

Engagement. Client engages WT, and WT accepts the engagement, to provide the services set forth in Section 1(b), on the terms and conditions set forth in this Agreement.

Provider Services. WT shall be responsible for providing to Client the following services (the "Services") through Dr. Jorge A. Llamas V. or a substitute provider deemed suitable by WT (collectively, the "Providers"):

Ensuring availability to provide consultation by telephone or e-mail to Client.

Ensuring a successful inoculation.

Ensuring availability to provide HIIM treatment to Client as appropriate within three (3) weeks of Client's request unless the Providers are unavailable due to special circumstances.

Providing follow-up care as WT deems appropriate for purposes of providing HIIM and advice to client; and

Providing re-inoculations and booster doses to client as WT deems appropriate for a term of two(2) years for hookworm.

Client Responsibilities

As compensation for the services, Client shall pay WT a fee determined by WT for treatment during the term of this agreement.

Client shall conduct himself/herself in an honest and appropriate manner when interacting with Providers or staff. Involvement in illegal activities relevant to HIIM will constitute grounds for termination of this contract.

Client shall provide a completed questionnaire detailing medical history and test results to ensure it is safe for the client to use HIIM. These tests include, but are not limited, to HIV 1/o/2, Hepatitis A/B/C, and a complete blood panel with differential. Unusual cases, test results or risk factors may require additional testing at the discretion of WT before treatment.

Client accepts that there may be conditions that exclude him/her from using HIIM safely and that they may be denied treatment due to these conditions.

Client recognizes HIIM is an experimental therapy and in the course of the therapy there will be unknowns. That on many occasions the answer to a query will be, "we do not know". Client recognizes that this answer does not represent a lack of due diligence on the part of WT, but is rather an intrinsic component of any experimental therapy.

Client recognizes HIIM as an experimental therapy and safety has not been established during pregnancy. Should pregnancy occur during the term of this contract, client will be requested to end the therapy ("Kill the Worms"). An exception will be made if Client supplies documentation of a certified OB/GYN or equivalent that is willing to oversee the pregnancy that is aware of the concurrent HIIM.

Client recognizes that WT operates under the good graces of the FDA's Personal Import Policy and that any behavior that invites regulatory scrutiny will constitute grounds for termination of this contract including, but not limited to, his/her previous involvement, should they exist, with companies providing similar services illegally or published accounts of illegal activities.

Term and Termination

The term of this Agreement shall commence on the Effective Date and shall continue until either party terminates the Agreement. Either party may terminate this

Agreement, with or without cause, at any time. In the event that WT terminates, WT will continue to provide treatment and advice to Client for an additional period so as to ensure Client safety.

Miscellaneous

Applicable Law. This Agreement shall be governed by and construed in accordance with the laws of Mexico (regardless of the laws that might be applicable under principles of conflicts of law) as to all matters, including, but not limited to, liability, matters of validity, construction, effect, and performance.

Entire Understanding. This Agreement constitutes the entire understanding of the parties with respect to the subject matter hereof and supersedes all prior negotiations, discussions, undertakings, and agreements between the parties. This Agreement may be amended or modified only by a writing executed by the parties.

Assignment. This Agreement may not be assigned or transferred in whole or in part by either party.

Waiver. Any waiver by either party of any act, failure to act or breach on the part of the other party shall not constitute a waiver by such waiving party or any prior or subsequent act, failure to act or breach by the other party.

E-MAIL RISKS AND YOUR RESPONSIBILITY

At the discretion of the WT, its staff, physicians and agents and upon your agreement to the terms outlined within this consent form, you may use e-mail to communicate with WT. These e-mails may contain your personal health information. If you decide to use e-mail to communicate with WT, you should be aware of the following risks and/or your responsibilities:

As the Internet is not secure or private, unauthorized people may be able to intercept, read and possibly modify e-mail you send or are sent by WT.

You must protect your e-mail account, password and computer against access by unauthorized people.

Since e-mail can be used to spread viruses, some which cause e-mail messages to be sent to people who you do not intend to send e-mail messages to, you should install and maintain virus protection software on your PC.

Since e-mails can be copied, printed and forwarded by people to whom you send e- mails, you should be careful regarding whom you send e-mails.

As your employer may claim ownership of, or the right to access, the e-mail account issued to you by your e-mail, you should avoid using an employer issued e-mail account to communicate with WT.

CONDITIONS FOR THE USE OF E-MAIL

By consenting to the use of e-mail with WT, you agree that:

WT may forward e-mails as appropriate for diagnosis, treatment, and other related reasons. As such, WT staff members, other than the recipient, may have access to e- mails that you send. Such access will only be to such persons who have a right to access your e-mail to provide services to you. Otherwise, WT will not, otherwise, forward e-mails to independent third parties without your prior written consent, except as authorized or required by law.

You should carefully consider the risk of using e-mail for the communication of sensitive medical information, such as, but not limited to, information regarding sexually transmitted diseases, AIDS/HIV, mental health, developmental disability, or substance abuse.

You are responsible for correcting any unclear or incorrect information.

WT reserves the right to save your e-mail and include your e-mail or information contained within your e-mail in your medical record.

It is the client's responsibility to follow up and/or schedule an appointment if warranted or recommended by WT.

E-mails may not be the only form of communication that WT will use to communicate with you. Additionally, WT may decide that it is not in your best interest to continue to communicate with you by e-mail. In such case, WT will notify that it no longer intends to communicate with you by e-mail.
